October 2026 : To redraw the boundaries of industrial technology, Schneider Electric has recently announced a definitive agreement to acquire PTC Inc. in an all-cash transaction valued at $205 per share. The deal pins PTC’s equity value at approximately $22.6 billion (€20.1 billion), translating to an implied Enterprise Value of $23.7 billion (€21.1 billion).

The takeover represents a 42.3% premium over PTC’s last closing price, signaling a decisive bid by Schneider Electric to build an unprecedented powerhouse in industrial software and AI.

By fusing PTC’s deep domain expertise in computer-aided design (CAD), product lifecycle management (PLM), and engineering data fabric with its own extensive process and energy data infrastructure - alongside AVEVA and the pending Cognite acquisition - Schneider Electric is constructing a seamless "digital thread." This unified data foundation connects upstream product design directly to real-world operations, shop-floor control, and energy optimization.

The strategic rationale extends beyond portfolio expansion. The combined entity expands Schneider Electric’s addressable industrial software market by roughly three times, particularly strengthening its footprint in discrete and hybrid manufacturing. Economically, the deal targets €250 million in annual run-rate cost synergies by Year 3 and approximately €800 million in revenue synergies, while scaling Software & Services to an estimated 24% of Group revenues on a proforma basis.

Unanimously approved by the Boards of Directors of both companies, the transaction is expected to close by Q3 2027, subject to customary regulatory approvals and the consent of PTC shareholders.
